BY ACCESSING OR USING THE SERVICES, YOU ("MEMBER") AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS. Disclaimer and Limitation of Liability

Educational Use and Inherent Risk

Terrasoari Software utilizes theoretical relationships, probability assumptions, and data believed to be accurate but which cannot be guaranteed. The primary purpose of this software is to inform, educate, and demonstrate potential trading opportunities using technical trading principles. Nothing within the Terrasoari Program, including its software, emails, syndicate materials, or Coaching, constitutes investment advice or a recommendation to buy or sell securities, options, or futures.

The Terrasoari Program does not make predictions or forecasts; it is intended to assist in calculating, evaluating, and managing trading risks. If real funds are invested after practicing in a "paper trading" or simulated environment, all trading decisions and resulting outcomes are entirely the responsibility of the individual.

Individual financial profiles, risk tolerances, and trading methodologies vary significantly. Trading and investing inherently involve a substantial risk of loss and are not suitable for all investors. Terrasoari Syndicate encourages all members to thoroughly validate strategies in a virtual, simulated environment where no financial risk is incurred. Terrasoari Syndicate, its coaches, members, and affiliates assume no liability for financial losses resulting from trading outcomes, execution anomalies, inaccurate data, timing delays, signal failures (e.g., Auto-bot modes), or any other events leading to a loss of funds.

Platform Integration and Automated Trading (Auto-Bot)

The "Live" version of the Terrasoari software includes functionalities to transmit messages to brokerage accounts (such as Interactive Brokers and Ninja Trader) and features an auto-bot trader for automated execution.

Best-Effort Connectivity: The software operates on a "best-effort" basis to communicate with external brokerage platforms. As a retail-level application, it is subject to the inherent limitations of external networks and is not presented as a fault-proof system.

Technical Vulnerabilities: Communication pathways can fail due to external network outages, offline brokerage servers, API disconnections, or transient software glitches.

Automated Trading Risks: The auto-bot trader executes actions based strictly on systemic logic and provided parameters. Automated systems do not evaluate changing market contexts or autonomously halt during irregular market volatility. Algorithmic anomalies, rapid market shifts, or connection disruptions may result in unintended order executions, missed trades, or duplicated messages.

Mandatory Supervision: The software and its automated features act strictly as message conduits to the brokerage platform. They are tools of convenience and do not replace the necessity of understanding the brokerage's native platform and operations. Active, continuous supervision is required to verify that all trades and automated activities are executed exactly as intended. The ultimate safeguard for any account activity is the active monitoring provided by the account holder.

TERRASOARI PAYMENTS LLC (Terrasoari) OWNS AND OPERATES THE SERVICES. Terrasoari RESERVES THE RIGHT TO CHANGE ANY TERMS OR CONDITIONS WITHOUT NOTICE, EFFECTIVE UPON THEIR POSTING. Terrasoari OR ITS SERVICE PROVIDERS, AFFILIATES AND BUSINESS ASSOCIATES MAY IMPOSE LIMITS ON CERTAIN FEATURES AND SERVICES OR RESTRICT YOUR ACCESS TO PARTS OR ALL OF THE SERVICES WITHOUT NOTICE OR LIABILITY; Terrasoari MAY ALSO TERMINATE YOUR USE OF THE SERVICES AT ANY TIME IN ITS SOLE DISCRETION.

Use of Services; Ownership of Intellectual Property Rights

All text, photographs, images, illustrations, artwork, audio and video clips, design, software, graphic material, trademarks, service marks and trade names, and all intellectual property rights in and to such items (hereinafter "Content") constitute the sole and exclusive property of Terrasoari or its subsidiaries, affiliates, licensors and content providers (e.g. Terrasoari Payments, LLC). The Member is granted a personal, non-exclusive, non-assignable and non-transferable license to use the Content for non-commercial and personal, informational use only. The following acts are additionally prohibited without Terrasoari's prior written approval: copying of the Services or the Content or any portion, variations or derivatives thereof; reproduction, modification, creation of derivative works, display, performance, publication, distribution, dissemination, broadcast or circulation of any Content, in whole or in part (including without limitation, the display and distribution of the Content via a third party application or Web site); and disassembling, decompiling, reverse engineering or otherwise modifying the Content.

Terrasoari Payments, LLC is the owner of the trademark Terrasoari.

Additional Member Conduct Guidelines

Terrasoari requests that the Member not impede or inhibit any other Member from using and enjoying the Services. Therefore, in using the Services, you agree not to: disrupt or interfere with the security of, or otherwise abuse, the Services, system resources, accounts, servers or networks connected to or accessible through the Services or affiliate linked websites/services; upload, post, or otherwise transmit through or on the Services any viruses or other harmful, disruptive or destructive files; use or attempt to use another's account, service or system, or link to another site, without authorization from Terrasoari, or create or use a false identity on the Services; or transmit through or on the Services spam, chain letters, junk mail or other types of unsolicited mass e-mail to people or entities who have not agreed to be part of such mailings.

Terrasoari reserves the right to remove any content that it in its sole discretion believes is infringing, defamatory, illegal or offensive, or otherwise as may be permitted under the Digital Millennium Copyright Act or other applicable law. Further, any unauthorized or prohibited use may additionally subject the offender to civil liability and criminal prosecution under applicable federal and state laws.

AI Coaching Systems

The Terrasoari platform may include artificial intelligence systems designed to assist members with educational guidance, trading reflection, and course participation. These systems may analyze user inputs such as trade log entries, worksheet responses, and interaction history in order to generate personalized feedback.

All AI-generated responses are produced algorithmically and may contain inaccuracies, incomplete interpretations, or outputs that do not reflect real market conditions.

The AI system is intended solely as an educational support tool and does not constitute financial advice, trading advice, investment recommendations, or professional guidance.

Users acknowledge that any interpretation of AI output is performed at their own discretion and risk. Terrasoari makes no guarantees regarding the accuracy, reliability, or usefulness of AI-generated responses.

Non-Reliance on AI Outputs

Users acknowledge that any information, responses, feedback, or analysis generated by the Terrasoari platform, including outputs from AI systems such as Donella, are provided solely for educational and informational purposes.

Users expressly agree that they will not rely on any AI-generated output as the basis for making financial or trading decisions. All trading decisions remain the sole responsibility of the user.

Algorithmic and Automated Trading Risk Disclosure

Automated trading systems operate strictly according to programmed logic and predefined conditions and do not independently evaluate broader market context or exercise discretionary judgment.

Market conditions may change rapidly, and automated systems may react in unexpected ways during periods of extreme volatility or technical disruption.

Users acknowledge that algorithmic systems may produce unintended outcomes including missed trades, duplicate orders, delayed execution, unexpected position entries or exits, or financial losses resulting from market conditions or technical disruptions.

Terrasoari provides automation tools solely as software utilities. The user retains full responsibility for supervising all account activity and trading decisions.
